    Great-West Financial is seeking a Senior Corporate Secretarial & Governance Specialist to join our Legal Department and support the corporate secretarial and governance functions of the Company and its subsidiaries, including insurance companies, investments advisers, a mutual fund complex, employee benefit and pension plans, and other entities.  The Senior Corporate Secretarial & Governance Specialist will work with attorneys serving in corporate secretarial roles, prepare board and committee meeting notices, agendas and minutes, schedule board and committee meetings, and oversee logistics in connection with meetings. 

    This role will be based in Greenwood Village, CO and will report to the Associate General Counsel, Products & Corporate. 

    Primary Responsibilities

    • Coordinate board and committee meeting agendas, materials and meetings with attorneys serving in corporate secretarial roles, including the General Counsel & Chief Legal Officer
    • Draft board and committee agendas, annotated agendas, chairman reports, and minutes
    • Track reoccurring agenda items and review for compliance with charters
    • Prepare director communications and serve as directors’ primary point of contact on routine matters
    • Oversee coordination of all board and committee meetings, including logistics (location, travel, catering, audio/visual)
    • Communicate presentation standards and material submission timelines, coordinate review of materials with attorneys serving in corporate secretarial roles, and load final documents into board meeting portal
    • Arrange for payment of director fees and prepare related reporting
    • Assist with requests from auditors, regulators and others requiring information related to boards and committees
    • Assist with director on-boarding and education sessions
    • Act as system administrator for board meeting portal, manage uploading of materials, and manage retention of materials in accordance with the Company’s retention policy
    • Assist with various corporate governance-related matters
    • Liaison with parent company corporate secretarial specialists on board matters and special projects





    • Bachelor's degree
    • 5 years of relevant corporate secretarial and governance work
    • Strong organizational skills and attention to detail
    • Strong written and oral communication skills
    • High degree of professionalism and ability to effectively work and communicate with senior executives
    • Ability to maintain a high degree of discretion and confidentiality
    • Ability to juggle multiple tasks, establish priorities, and meet tight deadlines
    • Experience with Diligent Boardbooks or similar online board portal a plus
